NON-PROFIT BYLAWS

OF

T.H.R.I.V.E. ASSOCIATION

Preamble

The following Bylaws shall be subject to and governed by the State of Texas.

ARTICLE 1-NAME

The legal name of the Unincorporated Non-Profit Association shall be known as T.H.R.I.V.E. Association.

ARTICLE 2- PURPOSE

The general purposes for which T.H.R.I.V.E. Association has been established are as follows:

Charitable activities including relief of the poor, the distressed, or the underprivileged, and specifically, United States Military Veterans.

T.H.R.I.V.E. Association is established and shall be operated exclusively for the purposes above within the meaning of IRA Publication 557 Section 501(c) Organization of the Internal Revenue Code 1986, as amended (the “Code”) or the corresponding section of any future federal tax code.

In addition, T.H.R.I.V.E. Association has been formed for the purpose of performing all things incidental to, or appropriate in, the foregoing specific and primary purposes. However, T.H.R.I.V.E. Association shall not, except to an insubstantial degree, engage in any activity or the exercise of any powers which are not in furtherance of its primary non-profit purposes.

T.H.R.I.V.E. Association shall hold and may exercise all such powers as may be conferred upon any nonprofit organization by the laws of the State of Texas and as may be necessary or expedient for the administration of the affairs and attainment of the purposes of T.H.R.I.V.E. Association. At no time and in no event shall T.H.R.I.V.E. Association participate in any activities which have not been permitted to be carried on by an Organization exempt under Section 501(c) of the Internal Revenue Code of 1986.

ARTICLE 3- MEMBERS

Section 3-1 Types of Membership

Board Members and Officers: All Board Members are entitled to one vote on T.H.R.I.V.E. Association actions. The Chief Officer shall have the right to veto any action voted for by the Board. The Board, by vote with explanation if desired, will advise the Chief Officer on substantive actions of T.H.R.I.V.E. Association. Board Members also may be authorized by the Chief Officer to directly carry out the directions of the Chief Officer or the Board, provided such authorization is in writing (text and email are sufficient).

T.H.R.I.V.E. Association Volunteer Staff: Volunteer Staff shall be a minimum of 12 years of age. Volunteer Staff shall follow the instructions of the T.H.R.I.V.E. Association Chief Officer and Board and shall be held to the same bylaws, principles, and prohibited behaviors contained herein.

Volunteers may not carry out any of the responsibilities of the Board Members. Volunteers are not agents of T.H.R.I.V.E. Association, cannot autonomously carry out any business of T.H.R.I.V.E. Association, and cannot legally bind T.H.R.I.V.E. Association in any manner.

Members: All those who donate to T.H.R.I.V.E. Association are members of T.H.R.I.V.E. Association and are expected to uphold its core principles.

Members may not carry out any of the responsibilities of the Board Members. Members are not agents of T.H.R.I.V.E. Association, cannot autonomously carry out any business of T.H.R.I.V.E. Association, and cannot legally bind T.H.R.I.V.E Association in any manner.

Section 3-2 Term of Membership

Board Members/Officers: Board members of T.H.R.I.V.E. Association may, by majority vote, add Board Members to T.H.R.I.V.E. Association or remove Board Members of T.H.R.I.V.E. Association. The Chief Officer may overrule Board Membership decisions.

T.H.R.I.V.E. Association Volunteer Staff: All T.H.R.I.V.E. Association Volunteer Staff Members shall have an indefinite term of membership, unless removed by the Board with agreement of the Chief Officer.

Section 3-3 Resignation and Removal

Resignation: A Volunteer T.H.R.I.V.E. Association Staff or Board Member may resign by giving written notice of his or her resignation to the Chief Officer.

Removal: T.H.R.I.V.E. Association Board Members may be removed from the Board for violation of any bylaws, principles, and codes of conduct contained herein.

Codes of Conduct:

T.H.R.I.V.E. Association expects its members to be respectful and HONEST to themselves and others at all times.

    1. T.H.R.I.V.E. Association is a neutral and impartial organization and does not want to judge its members personally, however, in order to maintain integrity within its membership and to the communities it serves, the following conduct will not be tolerated while representing T.H.R.I.V.E. Association.

      1. Discussing matters that are offensive, or become controversial, or create conflict while others are present

      2. Relationships in violation of the vows of marriage

      3. Sexual harassment or abuse

      4. Bullying

      5. Engaging in activities that threaten the core principles, including neutrality and impartiality, of T.H.R.I.V.E. Association

      6. Use of illegal substances

      7. A noticeable smell of alcohol at T.H.R.I.V.E. Association functions or events

      8. Inebriated behavior at T.H.R.I.V.E. Association functions or events

      9. Wearing T.H.R.I.V.E. Association attire while consuming alcoholic beverages

      10. Using T.H.R.I.V.E. Association volunteer time or T.H.R.I.V.E Association resources for personal use.

      11. Unauthorized attempts to carry out any business of T.H.R.I.V.E. Association, present oneself as an agent of T.H.R.I.V.E. Association, or in any way legally bind T.H.R.I.V.E Association.

  1. T.H.R.I.V.E. Association was founded to serve the community by providing hand-crafted goods to our nation’s underprivileged military veterans and those whom the veterans help support. Therefore, due to the vulnerability of these individuals and the delicate nature of the Organization’s work, members are expected to maintain a high level of professionalism and personal integrity. With this, T.H.R.I.V.E. Association is not intended to be used for purposes other than carrying out the established goals of the Organization. (While the founders of T.H.R.I.V.E. Association are pleased if our members find like-minded friends or partners in their efforts to serve, we do not accept the behaviors of those individuals whose sole purpose in joining T.H.R.I.V.E. Association is to network.)

  1. Under no circumstances may Board Members or Volunteer Staff sell or otherwise profit from skills/education provided by T.H.R.I.V.E. Association.

ARTICLE 4- CHIEF OFFICER

There shall be a Chief Officer of T.H.R.I.V.E. Association. The Chief Officer shall have all powers necessary to lead T.H.R.I.V.E. Association, hold T.H.R.I.V.E. Association meetings, to conduct T.H.R.I.V.E. Association business, and any other necessary functions needed for the advancement of T.H.R.I.V.E. Association and its purposes and the authority to delegate such functions to others.

ARTICLE 5- OFFICERS

The principle office of T.H.R.I.V.E. Association shall be located at (c/o David Gillespie) 9329 Springwater Drive, Dallas, Texas 75228.

T.H.R.I.V.E. Association may have other such offices, as T.H.R.I.V.E. Association members may determine or deem necessary, or as the affairs of T.H.R.I.V.E. Association may find a need for from time to time.

ARTICLE 6- DEDICATION OF ASSETS

The properties and assets of T.H.R.I.V.E. Association are irrevocably dedicated to and for non-profit purposes only. No part of the net earnings, properties, or assets of T.H.R.I.V.E. Association, on dissolution or otherwise, shall inure the benefit of any person or any member, director or officer of T.H.R.I.V.E. Association. On liquidation or dissolution, all remaining properties and assets of T.H.R.I.V.E. Association shall be distributed and paid over to an organization dedicated to non-profit purposes which has established its tax-exempt status pursuant to Section 501(c) of the Internal Revenue Code.

ARTICLE 7- AMENDMENT OF T.H.R.I.V.E. ASSOCIATION BYLAWS

The Bylaws of T.H.R.I.V.E. Association may be amended at any time by the Chief Officer and a majority of the Board.
